BOARD OF DIRECTORS JOB DESCRIPTIONBOARD OF DIRECTORS APPLICATION

A Letter from the President
Sr. Judy Schaefer, O.P., PhD
February 23, 2017

Dear Cotter community members,

Cotter Schools is an amazing learning community of faith and excellence. One of the ways that Cotter maintains its standards, its direction, and its focus on mission is through the work of the Board of Directors. This letter is to elicit your help in naming persons willing to serve on this important Board.

The Board of Directors, which meets monthly, consists of 9 at-large volunteer members and 2 Diocesan appointed members. The President of Cotter Schools and Secretary of the corporation also serve on the Board of Directors. According to its Bylaws, the purpose of the Board of Directors is as follows:

The Board of Directors shall manage and govern the affairs of the Corporation; exercise its power and control its property; determine compliance with the Corporation’s stated purpose; appoint, delegate, or elect the Corporate officers; and have the power and authority to do and perform all acts or functions that are consistent with the Articles of Incorporation or the Bylaws. (Section 2.1)

Directors serve on the Board for a three-year term, renewable twice.

Periodically, the Board is looking for new Board members and, recently, the Board instituted a process for seeking nominations and obtaining applications of interest from members of the Cotter community at large. The attached forms provide a brief role description of the Director position and a form for submission of interest. The form may be completed for someone to indicate their own interest in serving on the Board – or to nominate another whom they see as a good candidate for the position.

The Board does not currently need to replace any Directors, but it is considering adding one or two new positions in the coming months. The names submitted through this new process will be contacted and, if interested, placed on a nomination list for consideration. Please consider indicating your own interest – or asking someone you respect to consider submitting their name. The Board of Directors serves a significant role in our school’s life and we need dedicated and committed members to help us function effectively.

As President of Cotter Schools, I cannot express strongly enough how important the Board of Directors is to the successful operation of our school. I want to personally thank the current and past Board members with whom I have worked for their extreme dedication, integrity, and commitment. They are continually an inspiration to me.

May God continue to bless our Cotter community so that we may be of service to others.

Sincerely,

Sister Judith Schaefer, O.P., PhD
